1. Acceptance

These Terms of Service (“Terms”) are a contract between you or the organization you represent (“Customer”, “you”) and atSpark Inc., operating Embedportal (“Embedportal”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you’re accepting on behalf of an organization, you represent that you have authority to do so.

2. The Service

Embedportal is a hosted platform that embeds dashboards from third-party BI vendors (such as Tableau, Power BI, QuickSight and Metabase) into your product or portal, with tenant-aware branding and row-level security. Embedportal is not a data warehouse, data connector, ETL, or modelling tool, and does not store the underlying data rendered inside embedded dashboards.

We may suspend the Service on reasonable grounds to protect it, other customers, or a third party. We’ll tell you when we do.

The Service, software, documentation and brand are owned by us or our licensors. Except for the rights expressly granted, no license is granted by implication or estoppel. Feedback you send us may be used freely, without obligation.

8. Third-party BI tools

Embedportal embeds content from third-party BI vendors that you configure. You’re responsible for maintaining your account with those vendors and for ensuring your use complies with their terms. We’re not liable for outages, bugs or data issues in those vendors, but we’ll do our best to route around them.

9. Confidentiality

Each party will protect the other’s non-public information with the same care it uses for its own, and at minimum reasonable care. Confidential information may be disclosed to employees and contractors with a need to know who are bound by equivalent obligations.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. EACH PARTY’S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14. Indemnification

You will defend and indemnify us from third-party claims arising from your Customer Data, your breach of these Terms, or your violation of law. We will defend and indemnify you from third-party claims alleging that the Service itself, used as permitted, infringes that party’s intellectual property.

15. Changes to these Terms

We may update these Terms from time to time. For material changes we’ll email account owners at least 30 days in advance. Continued use of the Service after the effective date means you accept the updated Terms.

16. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of- laws rules. Each party consents to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, except either party may seek injunctive relief in any competent court.
