1. Acceptance
These Terms of Service (“Terms”) are a contract between you or the organization you represent (“Customer”, “you”) and atSpark Inc., operating Embedportal (“Embedportal”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you’re accepting on behalf of an organization, you represent that you have authority to do so.
2. The Service
Embedportal is a hosted platform that embeds dashboards from third-party BI vendors (such as Tableau, Power BI, QuickSight and Metabase) into your product or portal, with tenant-aware branding and row-level security. Embedportal is not a data warehouse, data connector, ETL, or modelling tool, and does not store the underlying data rendered inside embedded dashboards.
3. Accounts
- You are responsible for all activity under your account.
- Keep credentials confidential and use SSO where available.
- You must be at least 16 years old to create an account.
- Tell us promptly about any unauthorized use at security@embedportal.com.
4. Plans & billing
- Current plans and usage limits are listed at embedportal.com/#pricing.
- Paid plans are billed monthly or annually in advance, in US dollars, by Stripe.
- Overage on metered usage (e.g. embeds) is billed on the following invoice.
- Taxes and duties are added where applicable and are your responsibility.
- Fees are non-refundable except as required by law or expressly stated in these Terms.
- We may change pricing with 30 days’ notice; changes do not affect the current paid period.
5. Acceptable use
You agree not to:
- ✗ Use the Service to break any law or third-party right.
- ✗ Reverse-engineer, disassemble or copy non-public parts of the Service, except as permitted by law.
- ✗ Probe, scan or test vulnerabilities without prior written consent via our responsible-disclosure program.
- ✗ Interfere with the Service, overwhelm it, or circumvent rate limits, quotas, or RLS rules set by another tenant.
- ✗ Use the Service to store or transmit content that is defamatory, infringing, harassing, or illegal.
- ✗ Resell the Service, white-label it to compete with Embedportal, or provide it as a standalone embedding service to third parties without a written partner agreement.
We may suspend the Service on reasonable grounds to protect it, other customers, or a third party. We’ll tell you when we do.
6. Customer data
- You retain all rights to your content and configuration (“Customer Data”).
- You grant us a limited license to host, process and transmit Customer Data solely to operate the Service for you.
- Business data rendered inside embedded dashboards is served by your BI vendor directly to your viewer’s browser. We don’t copy or store it.
- Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms.
7. Intellectual property
The Service, software, documentation and brand are owned by us or our licensors. Except for the rights expressly granted, no license is granted by implication or estoppel. Feedback you send us may be used freely, without obligation.
8. Third-party BI tools
Embedportal embeds content from third-party BI vendors that you configure. You’re responsible for maintaining your account with those vendors and for ensuring your use complies with their terms. We’re not liable for outages, bugs or data issues in those vendors, but we’ll do our best to route around them.
9. Confidentiality
Each party will protect the other’s non-public information with the same care it uses for its own, and at minimum reasonable care. Confidential information may be disclosed to employees and contractors with a need to know who are bound by equivalent obligations.
10. Uptime & support
- We target 99.9% monthly uptime for the Team plan and a contractual SLA for the Enterprise plan.
- Planned maintenance windows are announced in advance on our status page.
- Support is email-based on paid plans; response targets depend on the plan you’re on.
11. Termination
- You may cancel at any time from your account dashboard.
- We may terminate for material breach that remains unfixed 14 days after notice.
- On termination, embedded dashboards stop loading. You can export your configuration for 30 days; after that it’s deleted.
12. Warranties & disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. EACH PARTY’S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
14. Indemnification
You will defend and indemnify us from third-party claims arising from your Customer Data, your breach of these Terms, or your violation of law. We will defend and indemnify you from third-party claims alleging that the Service itself, used as permitted, infringes that party’s intellectual property.
15. Changes to these Terms
We may update these Terms from time to time. For material changes we’ll email account owners at least 30 days in advance. Continued use of the Service after the effective date means you accept the updated Terms.
16. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of- laws rules. Each party consents to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, except either party may seek injunctive relief in any competent court.
